Standard terms and conditions of online sale of our Event Tickets to attendees in a business capacity.
1.1. These terms and conditions (“Terms”) are to be read in conjunction with the terms contained in our privacy policy and any booking/order form for the Event, and together, they represent the entire agreement between you and your Company as detailed in the online booking order ("you" or "your”) and CogX Inc, a company registered in England whose registered office is 251 Little Falls Drive, Wilmington, Newcastle, 19808 and with company number: 3106682 and with VAT number 375588640, and any of its affiliates or group companies (hereafter referred to as "CogX", the "Organiser", "us" or "we"). By completing and submitting the online booking and/or RSVP form, you agree to be bound by these Terms, and you will procure that any other individuals attending from your organisation, or identified on the booking, shall comply with these Terms.
1.2. The purpose of these Terms is to set forth the terms and conditions applicable to (i) the reservation and purchase and/or acceptance of business entrance passes for the CogX Festival USA 2024 event taking place from Tuesday 7th May - Wednesday 8th May 2024, hereafter the “Event” or the "Services” and (ii) our provision of the Event and Services. A person who acquires an entrance pass to the Event (including you) is hereinafter referred to as a “Participant”.
1.3. Unless otherwise stated, the Event and certain related Services are provided by CogX Inc.
1.4. These Terms constitute the entire agreement between us (the "Contract"), and supersede any prior agreement(s) concerning the Event, or any terms which you or your business seek to impose (unless signed by a director of CogX). These Terms apply to the exclusion of any other terms that you seek to impose or incorporate, or which are implied by law, trade custom, practice or course of dealing. You acknowledge that you have not relied on any statement, promise or representation or assurance or warranty that is not set out in the Terms.
1.5. Registration on the cogxfestival.com website ("Website", as may be updated or amended from time to time) or the acquisition of a business entrance pass ("Ticket") to the Event constitutes acceptance of the version of the Terms currently in force by the Participant, and places them under an obligation to strictly comply with such Terms.
1.6. CogX reserves the right to modify the Terms at any time. If you (or any other Participant) does not agree to any such changes, please notify us in writing without delay, and in any event, at least 14 days prior to the Event.
1.7. Modifications to the Terms referred to above will be binding on you (including the Participants) as soon as they are published on the Website. The Participant should therefore regularly consult the Terms, which are permanently available on the Website (as at the date of publication of these Terms, they are available here: https://www.cogxfestival.com/terms-and-conditions and a link to the latest terms will be available at the foot of the Website). Any use of the Services after modification of the Terms shall be deemed to be accepted by the Participant of the most recent version of the Terms in force.
1.8. Any words following the terms "including", "include", "in particular", "for example" or any similar expression shall be interpreted as illustrative and shall not limit the sense of the words preceding those terms.
1.9. A reference to writing or written includes email but excludes fax.
1.10. A reference to a person includes a natural person, corporate or unincorporated body (whether or not having separate legal personality).
1.11. The Event is aimed at businesses and individuals operating in a business or professional capacity. As such, to the extent permitted by law, we are treating all Participants and purchasers of tickets to the Event as businesses rather than consumers.
2.1. Placing an order and/or accepting a guest business entrance pass. Please follow the onscreen prompts on the Website to place your order for Tickets. You may only submit an order using the method set out on the Website. Each order is an offer by you to buy a ticket and/or accept a guest business entrance pass or Services subject to these Terms.
2.2. Correcting input errors. Our order process allows you to check and amend any errors before submitting your order to us. Please check the order carefully before confirming it. You are responsible for ensuring that your order is complete and accurate.
2.3. Accepting your order. After you place your order, you will receive an email from us. Our acceptance of your order takes place when we send an email to you to confirm we accept it (Order Confirmation), at which point and on which date (Commencement Date) the Contract between you and us will come into existence. The Contract will relate only to the Event and those Services confirmed in the Order Confirmation.
2.5. If we cannot accept your order. If we are unable to accept your order or provide you with access to the Event or otherwise supply you with the Services, for any reason, we will inform you of this by email and we will either cancel or stop processing your order.
2.6. Registration on the cogxfestival.com website and the acquisition of a business entrance pass to the Event constitutes acceptance of the version of the Terms currently in force by the person or business participating in the Event, and places them under an obligation to strictly comply with such Terms. A person who acquires an entrance pass to the Event is hereinafter referred to as a “Participant”.
2.7. You agree to pay the Ticket fee as detailed in the online booking form (depending on the category of ticket you are buying) and in accordance with these Terms.
2.8. You agree to pay the Ticket fee in full without any set-off, counterclaim, or deduction or withholding. If you are required by law to make any deduction or withholding, the booking fee payable shall be grossed up so that, after such deduction or withholding, the amount paid by you and received by us shall not be less than the Ticket fee specified in the order.
3.1. Various conferences, workshops and events are being proposed in the context of the Event, which will commence from 12:00 PST Monday 6th May to 18:00 PST Wednesday 8th May 2024.
3.2. The Event will take place in-person at the locations below:

4.1. The acquisition of a physical business entrance Pass by the Participant gives them access to only those conferences or workshops permitted and specified to the level of Pass purchased by the Participant or guest business entrance pass allocated by the festival organisers. The level of access permitted by Passes will be published on the Website, however access to specific events or workshops may be limited with specific conditions at CogX's discretion.
4.2. The titles, presenters and topics of sessions, workshops or events may be changed up until the day of the Event, at our discretion. In the event of modification of the description of conferences, workshops or events, the Organisers will publish if needed the new description for each workshop, conference or event that has been changed on the cogxfestival.com website. It is your responsibility to check the status of any Event sessions, workshops or events.
4.3. Access to physical session rooms, workshops, and events will be subject to the capacity of the relevant rooms and spaces within the Event venues, and any health and safety requirements of the Event venue management or otherwise required by law. The Organiser cannot under any circumstances guarantee Participants that they will have access to their chosen sessions, workshops and events. The Organiser advises participants to go to the room or place of the conference in advance before the time indicated on the schedule. Unless notified otherwise, access will be on a first come, first served basis.
4.4. At CogX's discretion, certain areas at the Event may not be accessed by Participants due to the nature or professional purpose of those areas (including press, speakers rooms, exhibitors, platinum, and certain lounges).
5.1. It is prohibited to resell tickets for the Event.
5.2. The acquisition online of Tickets is available only through the official event website and are payable solely in US dollars or via the official event guest RSVP form and only to the named delegate on the invitation. Tickets and badges purchased from any other sources shall be invalid and admission refused. Only tickets issued by the Event in exchange for a valid access badge are valid for entry. The Organisers shall not be liable if participants are unable to get access to CogX Festival USA 2024 due to the acquisition of Tickets by any retailer other than the Organisers.
5.3. Participants are invited to check on our website whether additional prior registration is required in order to attend certain workshops or conferences.
5.4. Participants should keep their Festival badges/lanyards as well as their entrance Pass emails, and registration codes to hand if they plan to attend the Event on more than one day.
5.5. The Organisers may change the price of a ticket type at any time as well as add ticket types as it sees fit. At any time the Organiser may propose promotional prices or offers for a definite period. As the case may be, conditions and period of validity of such promotional prices or offers will be subject to a specific advertising on the official website of CogX Festival USA 2024. Any changes to the price as described above shall not affect the price you have already paid for your Event ticket.
5.6. Participants acknowledge, and shall comply with, the Event Access Policy. The Access Policy is detailed below:
CogX Festival USA 2024 takes place across multiple stages. Access to these stages and venues will be allocated on a first come, first served basis for all valid ticket holders with the exception of those who have bought Platinum Festival Passes, where an allocation of premium access will be reserved up until 5 minutes prior to the session commencing.

CogX may change this Access Policy at any time.
5.7. Tickets for this Event have a unique QR code which will be scanned on entry and if found to be duplicated, either in error or for fraudulent purposes, only the first instance of the ticket scanned will be admitted regardless of original ownership. Customers may be prosecuted if found to have deliberately duplicated, resold or otherwise misused tickets for fraudulent gain.
5.8. Ticket holders should expect queues at the badge collection points/entry gates and arrive with plenty of time before the first speakers that they wish to see. No refunds will be given for sessions missed.
5.9. The Festival takes place over multiple locations, by attending the Festival and in addition to these Terms, you also agree to the venue’s (Fairmont Century Plaza) code of conduct.
5.10. Tickets cannot be used as part of any marketing, media or sales promotion, without our prior written consent.
5.11. If you have obtained a ticket in breach of these Terms or if you breach any of these Terms then your ticket will be void, and all rights conferred on you or evidenced by such ticket shall be void. If you seek to gain entry to the Event using a void ticket then we reserve the right to refuse you entry to or evict you from the Event and you may be liable to legal action for trespass. Void tickets are non-refundable.
5.12. Tickets and badges remain our property at all times.
5.13. Side Event Add-On Tickets.
Any side event requiring an add-on Ticket has their own purchase terms and conditions.
6.1. Once purchased, tickets are non-refundable. In cases of extenuating circumstances, refund requests can be made to the event organiser in writing prior to the event and will be at the discretion of the event organiser.
6.2. Refunds are only considered if the Event is (i) cancelled in full and not rescheduled (if the Event is partially cancelled your refund will be a proportionate partial refund) or (ii) materially altered (other than a rescheduling) in such a way which, in our opinion, makes the Event materially different to the Event that ticket purchasers, taken generally, could reasonably expect. The following are not deemed to be ‘material alterations’: changes to the Event line-up; adverse weather conditions; changes to individual speaker sessions; curtailment of the Event where the majority of the Event is performed; and delays to starting a performance or the Event.
6.3. Personal arrangements relating to the Event including travel, subsistence and accommodation are at your own risk and We shall not be liable for any costs or losses incurred from personal arrangements or wasted expenditure incurred by you, beyond any applicable ticket Refund. We are not liable to you for any non-attendance by you or any other individuals on your booking for any reason, including, but not limited to, travel disruption, bad weather, industrial action, visa or other entry or travel restrictions, sickness or bereavement. We recommend that your travel plans provide for enough time to account for any inclement weather or industrial action and that appropriate insurance is obtained prior to the event to recompense for any financial loss you incur as a result of not being able to travel.
6.4. The sale of business entrance Passes to the Participant will not give the latter any right to withdraw from their purchase. The sale will therefore be definitive as from the time of payment of the price. Distance selling of entrance Pass to the Event via the website opened by the Organiser will not give purchasers any right to withdraw from their purchase. The sale of business entrance Pass will therefore be firm and definitive once the purchase has been validated by the Participant and confirmed by the Organiser, and no reimbursement or exchange will be possible if the Participant is unable to attend the Event.
6.5. Business entrance Passes shall not be sold or transferred to third parties by the Participant and are personal.
6.6. Postponement or Cancellation of the Event by the Organiser. We reserve the right to (a) alter the advertised format, date, timing, content or location of the Event or (b) to cancel the Event, in each case at any time. Where we change the format, date, timing, content or location of the Event your Pass for the Event will be valid for the Event as altered. You will not be entitled to a refund and we shall not be liable to you for any other cost or other expenses (including wasted costs and expenses) incurred by you as a consequence (including travel and accommodation expenses).
6.7. If we have to cancel the Event in its entirety, we will give you as much notice as possible, and you will be given the option of a refund or transfer to an alternative event, subject to clause 7.1.
6.8. We may need to relocate or postpone the Event. If so, we will give you as much notice as possible. Your Ticket will remain valid for the postponed or relocated Event. Postponement or relocation will not entitle you or other Participants to a refund.
7.1. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under the Contract that is caused by any act or event beyond our reasonable control (Event Outside Our Control).
7.2. If an Event Outside Our Control takes place that affects the performance of our obligations under the Contract:
7.2.1. we will contact you as soon as reasonably possible to notify you; and
7.2.2. our obligations under the Contract will be suspended and the time for performance of our obligations will be extended for the duration of the Event Outside Our Control. We will arrange a new date for performance of the Services with you after the Event Outside Our Control is over.

9.1. Participants are informed that photographic and audiovisual recordings may be made by the Organiser, exhibitors or press throughout the Event and in all areas open to the public (session rooms, break-out spaces, Expo and Start-Up Village area, Delegate VIP Lounges and Side Event spaces).
9.2. In this context, Participants recognise and accept:
(a) that their image may be captured in photographs or films that will be produced
(b) that the photos and films can be reproduced and represented on any media, because of the distribution rights of the Organiser or the exhibitors of any photo or film of any information, documentary (i.e.: podcasts videos) or promotional activities related to the Event for any current or future edition of the Event. These broadcasts are authorised for any media or medium, by all means and technical forms known or unknown to date, for the whole world.
9.3. You grant us permission to use any such photograph or recording of you at the Event worldwide for the purpose of our promotional, marketing or other commercial activities (Permitted Purposes). You also agree to us storing copies of the photograph or recording for as long as necessary to fulfil the Permitted Purposes.
9.4. Attendees may exercise their right of access, rectification and deletion of their image (to the extent held or managed by us) free of charge via contacting the Company at privacy@cogx.live This will not affect the lawfulness of any processing carried out before you withdraw your consent. Participants acknowledge that once the photograph or recording is uploaded to the internet (including on our Website or other social media channels) we have no control over how third parties use such photograph or recording.10.1. CogX Inc are the owners or licensees of all intellectual property rights at the Event and on the Website. All text, information, graphics, interfaces, photographs, video and other material available at the Event and on the Website is protected by copyright, trade mark or other proprietary or intellectual property laws.
10.2. CogX Inc declines any and all responsibility concerning any errors or omissions in the content shown at the Event.
11.1. Subject to clause 11.2., we accept no liability to you, or any other Participants on your Booking, for personal or property damages or losses (including, but not limited to, surrendered items) sustained by you, or any other Participants, at the Event.
11.2. Nothing in these Terms will exclude or limit our liability for:
i. death or personal injury caused by our negligence, or the negligence of our employees, agents or subcontractors;
ii. fraud or fraudulent misrepresentation; or
iii. any other liability which cannot be limited or excluded by applicable law.
11.3. In no event will we be liable to you for any indirect, special or consequential losses (including, but not limited to, costs of travel or accommodation). Neither will we be liable to you for any losses or damages you suffer if you rely on any views, opinions, data or information (of CogX, event speakers, exhibitors, sponsors, attendees or others) expressed or disseminated at an event.
11.4. In any event, our total aggregate liability to you whether in contract, tort (including, but not limited to, negligence), breach of statutory duty, or otherwise, shall not exceed the total sums paid by you as detailed on the Order Confirmation.12.1. If we do not insist that you perform any of your obligations under the Contract, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you or that you do not have to comply with those obligations. If we do waive any rights, we will only do so in writing, and that will not mean that we will automatically waive any right related to any later default by you.
13.1. Each paragraph of these Terms operates separately. If any court or relevant authority decides that any of them is unlawful or unenforceable, the remaining paragraphs will remain in full force and effect.
14.1. These Terms and our Contract are governed by United States law and we each irrevocably agree to submit all disputes arising out of or in connection with the Contract to the exclusive jurisdiction of the courts of the State of Delaware or the United States District Court for the District of Delaware.
